Estate Agent - refers to any person, firm or corporate entity in the business of selling or letting residential property or land on behalf of a third party.
Developer - refers to any person, firm or corporate entity in the business of building or renovating residential property.
Conditions - refers to these Terms and Conditions and constitute the Terms and Conditions for Sublime Location and this website www.sublimelocation.com .
We, Us, Our - refers to our company Sublime Location and the Sublime Location website www.sublimelocation.com .
Website - refers specifically to Our website, www.sublimelocation.com .
You and Your - refers to the person, firm or corporate entity who has applied for membership on our website, www.sublimelocation.com.
Your Client - refers to any other person associated with, linked to or employed by your business and who is directly or indirectly involved in carrying out the duties of your business.
Location - refers to the place and the address that You provided on Your Sublime Location membership application. Location refers to the place from which You operate, manage and promote Your business activities and also refers to the contact details that You have provided in Your application.
Term - refers to the initial or designated period of Your association or membership with Sublime Location as set out by Us when confirming acceptance of Your application for membership. Agents registered on or before the 31st of December 2008 have been given an automatic Term of 12 months with a suspended start date of January the 1st 2009.
User Data - refers to information provided by or derived from the activities of visitors to Our Website, but does not include Your Data.
Your Data - refers to all information and any part thereof provided to Us by You either directly or indirectly, including Data supplied by way of a link to a document or similar of any kind, or information provided or displayed on Your behalf by a third party.

1.1 Sublime Location will provide an online property listing platform for displaying Your Data to visitors of Our Website. We may also offer you other relevant additional features and services to help you manage, advertise, market and promote your properties.

1.3 In accordance to our services, we will endeavor to maintain the integrity of Your Data but accept no responsibility for checking the accuracy of Your Data and have no obligation to edit or review your data.

1.6 Will comply with the Data Protection Act 1998 to the extent that it affects Our business and with any guidance applicable to Our business issued from time to time by the Information Commissioner.
1.7 This website may contain material submitted and created by third parties. We do not accept any liability for any illegality arising from or error, omission or inaccuracy in such material and we take no responsibility for such material.
1.8 Sublime Location cannot warrant the accuracy of the information displayed about any properties advertised and you should always check the position with the agent concerned before relying on the contents of a property advertisement.
2. In (By) registering with Sublime Location:
2.1 You warrant that You and/or Your Client(s) operate as a Real Estate Agent or Property Developer and are providing the services normally associated with those operations.
2.2 You warrant that Your Data will only include information on property or land appropriate to You, Your company and Your Membership where:
2.2.1 You or Your Client received the original instruction from a third party at one of Your Locations to sell such property or land or,
2.2.2 You or Your Client have developed or are developing such property or land at one of Your Locations.
2.3 Your Data must also not include details of any property or land if the original instruction was received or is managed or is controlled from somewhere other than one of Your Locations.
2.4 You warrant that you will (when loading property) provide Data in accordance with any specifications and/or in the format that We specify and in such a way as not to interfere with the operation of Our Website, compromise Our Users experience or have a detrimental effect on the quality of Our Website.
2.5 You warrant that you will provide Us with a valid working email address for each of Your Locations and will immediately advise Us of any changes or technical problems that would prevent Your Location(s) from receiving emails from Us.
2.6 You warrant that You and Your Client(s) have good title to Your Data and that Your Data is:
2.6.1 accurate, relevant and complete
2.6.2 of a professional and inoffensive nature
2.6.3 free from known viruses, disabling programs and devices (to the best of Your knowledge)
2.6.4 not threatening, defamatory, offensive, abusive, liable to incite racial hatred, discriminatory, blasphemous or pornographic in nature.
2.6.5 not in breach of any obligations of confidentiality or privacy
2.6.6 not being displayed against the wishes of whom You or Your Client acquired it
2.7 You warrant that Your Data does not include any details of Your commission or company fees, or make specific comparisons with other or direct third parties who We or others may perceive to be competitors of You or Your Client.
2.8 You warrant that Your Data does not include any links or references to any website or any other information that is specifically excluded by these Terms and Conditions or that We deem to be inappropriate to Your Membership with Sublime Location.
2.9 You warrant that where You provide images to be shown with the property or land You or Your client are marketing, such images are only of the property or land being offered, the occupier lifestyle and immediate locale.
2.10 You warrant that Your Data or any Data provided by You or one of Your clients will not; breach any contract; fail to comply with any applicable law or regulation; infringe any copyright, trade mark, intellectual property or any other personal or proprietary right of any person, firm or corporate entity; render Us liable to any claim whatsoever; and that You will indemnify Us against any resulting third party claim, legal action or penalty should Your Data not meet these Terms & Conditions.
2.11 You warrant that you will use reasonable endeavours to update Your Data to ensure that it is and remains correct including but not limited to any alterations to prices and availability. Where there is a material change or update of Data, You will ensure Your Data is amended accordingly, ideally within 48 hours but no later than 72 hours.
2.12 You warrant that You will use, and will ensure that Your Client uses reasonable endeavours to respond to emails and enquiries sent to Your Location(s) by Sublime Location, ideally within 24 hours, but no later than 48 hours of being sent,.
2.13 You acknowledge and agree that We may enter into agreements with third parties whereby Your Data can be published or accessed through mediums not belonging to Us.
2.14 You warrant that you will seek Our written approval for any advertising materials that You intend to use in Your business containing data sourced from Us or referencing Your relationship with Us.
2.15 You warrant that you will not without our written permission directly or indirectly sell on the services and features of Your membership with Sublime Location to third parties.
3. General
3.1 Your Membership with Sublime Location is subject to these Terms and Conditions and excludes all other terms and conditions express or implied.
3.2 The Terms and Conditions of membership as posted on Our Website (www.sublimelocation.com) will apply at all times to Your Membership and will supersede all previously published conditions of membership.
3.3 We reserve the right at any time to vary and apply changes to these Terms and Conditions and will endeavour to give You 1 months prior written notice confirming any and all such variations to the current Sublime Location Terms and Conditions. You may subsequently terminate Your Membership by giving one calendar month's notice in writing to Us if the changes to the Terms and Conditions materially and adversely affect You and Your business.
3.4 If any provision of this agreement is found by any court or other authority of competent jurisdiction to be invalid, illegal or unenforceable that provision or part provision shall, to the extent required, be deemed not to form part of these terms, and the validity and enforceability of the other provisions of these terms shall not be affected.
3.5 These Terms and Conditions and Your completed membership form when accepted by Us contain the whole agreement between You and Us relating to Your Membership and supersedes all prior agreements, arrangements and understandings between You and Us relating to Your Membership.
3.6 Subject to the Data Protection Act and the Sublime Location privacy policy on Our Website (www.sublimelocation.com), we reserve the right to collate and utilise any User Data and Your Data in Our marketing activities. We reserve the right to process information in accordance with our Privacy Policy and by using this Site, you consent to such processing and you warrant to the best of your knowledge and belief that all data provided by you is accurate.
3.7 We may use your information to contact you for your views on our services and to notify you occasionally about important changes or developments to the website or to our services. Furthermore, we may use your information to email you with details about other products and services which may be of interest to you.
3.8 These Terms and Conditions and any disputes arising under them shall be exclusively governed and construed in accordance with the laws of England and Wales and shall be subject to the exclusive jurisdiction of the courts of England and Wales.

4. Refusal and Termination
4.1 No application for membership of Our services placed by You will be deemed to be accepted by Us until We confirm Your membership. We are not obliged to accept any application for membership by You nor give You reasons for declining Your membership.
4.2 We may immediately terminate Your Membership if You enter into any form of insolvency including without limit liquidation, receivership, administration, bankruptcy or You are unable to pay Your debts as and when they fall due, or anything corresponding to the abovementioned occurs in any capacity.
4.3 We may immediately terminate or suspend without notice Your Membership with Sublime Location if We believe that You are in breach of any part of these Terms and Conditions.
4.4 If at any time We have reason to doubt Your ability to comply with Our Terms and Conditions, we reserve the right to; refuse Your application for Membership; immediately suspend or terminate Your Membership; audit Your processes, property details and practices and charge You for Our costs and time in doing so.
4.5 When registering with Sublime Location, you will be provided with, a username and password, you should treat this information as confidential, and you must not disclose it to any third party. We have the right to disable any membership username and/or password, whether chosen by you or allocated by us, at any time, if in our opinion you have failed to comply with any of the provisions of these terms and conditions.
5. Payment Terms
5.1 In relation to section 1 and in particular Section 1.1 of these Terms and Conditions, we reserve the right to charge a Fee for the Services that our business (Sublime Location) and website (www.sublimelocation.com) provide.
5.2 Your association or membership with Sublime Location will be set out by Us when we confirm acceptance of Your application for membership. Agents registered on or before the 31st of December 2008 have been allocated an automatic Term of 12 months with a suspended start date of January the 1st 2009.
5.3 Where subscription or listing charges are to be applied to a membership, we will notify you of any and all such changes and charges by giving at least 1 months prior written notice in advance of your current Term renewal date. Notification of such changes will include the date the changes will take effect. You will not be charged or invoiced for anything prior to this date.
5.4 You may subsequently terminate Your Membership with Us if the changes to our subscription and property listing fees materially and adversely affect(s) You and/or Your business and you no longer want to continue with your membership under a new Term agreement.
All content on this site is protected by copyrights and trade marks which are owned or licensed to Sublime Location. You may view this site and are welcome to print hard copies of material on it for your personal use. All other copying whether in electronic, hard copy or other format is strictly prohibited and all other rights reserved.
